Canaccord Genuity Acts as Financial Advisor to VerticalScope on Three Strategic Acquisitions for US$118.5 million.

Canaccord Genuity is pleased to announce that on November 10, 2021, its client VerticalScope Inc. (“VerticalScope” or the “Company”) (TSX:FORA), announced that it had entered into agreements to acquire Hometalk, The Streamable and Threadloom for a combined US$118.5 million inclusive of earnouts.

Hometalk is an owner and operator of DIY community websites, including the online DIY home, cooking and fashion communities, serving over 6 million monthly active users (“MAUs”). The Streamable is a consumer resource site that simplifies the process of finding where to stream sports, movies, and TV shows, reaching over 3 million MAUs across 28 different countries. Threadloom is a provider of forum-focused web tools & capabilities including email newsletters, news feeds, commerce-focused guides, product recommendations and reviews. The acquisitions of Hometalk and The Streamable are expected to be immediately accretive to EBITDA, with Threadloom expected to become breakeven before the end of 2022 and accretive to overall growth longer term.

VerticalScope is a Toronto-based technology company that has built and operates a cloud-based digital platform for online enthusiast communities in high-consumer spending categories.  Through targeted acquisitions and development, VerticalScope has built a portfolio of over 1,200 online communities and more than 100 million MAU. VerticalScope completed its TSX IPO in June 2021, of which Canaccord Genuity acted as Joint-Lead Bookrunner.
