Canaccord Genuity Acts as Exclusive Financial Advisor to Railtown AI Technologies on its Acquisition of AI Partnerships Corp.

Canaccord Genuity is pleased to announce that on November 27, 2025, Railtown AI Technologies Inc. (CSE:RAIL) ("Railtown" or the "Company") successfully closed its amalgamation transaction with AI Partnerships Corp. (“AIP”), whereby Railtown acquired all of the outstanding shares of AIP (the “Transaction”).

The Transaction was completed through an all-share transaction for a total consideration of 49,476,251 Railtown shares at $0.50 (inclusive of earnouts), where AIP shareholders received ~2.348 Railtown shares for each share of AIP. 10 million shares of the total consideration are placed in escrow, subject to release upon the achievement of two revenue milestones. The purchase price of the Transaction values AIP at approximately C$25 million on an equity value basis (~C$20 million exclusive of earnouts). Railtown & AIP shareholders have voted and approved this transaction. The CEO of AIP will continue his leadership role within the subsidiary and join the board of directors for Railtown.

Railtown provides development teams with intelligent AI tools (frameworks) that accelerate software delivery, boost developer productivity, and scale applications efficiently. Railtown’s business divisions span across data ingestion engines to AI developer tools and cloud services. Completion of this Transaction underscores Railtown’s vision to create a “First of its Kind” artificial intelligence (AI) marketplace. AIP’s existing network of AI companies will be connected to Railtown’s agentic frameworks, sovereign compute resources, investment opportunities and ecosystem support.

AIP was formed in 2020 with the goal of establishing a world-wide affiliate network of AI-as-a-Service based companies that are focused on providing AI-based solutions in a select number of sectors. These sectors include healthcare, manufacturing, supply chain and fintech, as well as sector agnostic AI development tools and applications. AIP has established a network of over 180 SaaS-based AI affiliates, primarily headquartered in Canada and the US, who have offices in 13 countries world-wide.
